Terms of Service

These Terms of Service (the “Terms”) govern your access to and use of the Serve Funding client portal (the “Portal”), operated by Serve Funding, LLC, a Georgia limited liability company (“Serve Funding”, “we”, “us”, or “our”). By creating an account or using the Portal you agree to be bound by these Terms.

1. About Serve Funding

Serve Funding is a strategic business financing advisory firm. We help our clients identify, evaluate, and negotiate debt capital and financing solutions. The Portal is the tool we use to gather the information needed to advise you, present financing options, and manage the application lifecycle.

The Portal is not a lender. We do not extend credit. Any financing offered to you comes from third-party lenders or capital providers introduced to you through our services.

2. Eligibility & Account Creation

You must be at least 18 years old and legally authorized to enter into binding contracts on behalf of the business you represent. By signing up you confirm that the information you provide is accurate and that you have authority to share it with us.

3. Client Engagement Agreement

Advisory services are governed by a separate Client Engagement Agreement (“CEA”) that you will be asked to sign once you are ready to proceed with a financing request. The CEA controls in the event of any conflict with these Terms with respect to advisory services, success fees, and related obligations.

4. Acceptable Use

You agree not to:

• Provide false, misleading, or fraudulent information;
• Use the Portal to apply for financing on behalf of a business or owner without proper authority;
• Attempt to access another user’s account or data; or
• Interfere with the security or integrity of the Portal.

5. Information You Provide

Through the Portal you may submit business and personal financial information, identification details (including, if applicable, Social Security and EIN numbers), bank statements, debt schedules, and other documents (collectively, “Application Information”). You authorize Serve Funding to use this information for the purposes described in our Privacy Policy, including sharing it with prospective lenders as needed to evaluate and source financing on your behalf.

6. Electronic Signatures

You agree that records, agreements, and signatures presented or executed through the Portal (including the CEA, the financing application, and any owner-side acknowledgments) have the same legal effect as wet-ink signatures and may be enforced as such under the U.S. Electronic Signatures in Global and National Commerce Act and applicable state e-signature laws.

7. Fees

Use of the Portal itself is free. Success fees and any other amounts payable to Serve Funding are governed exclusively by the CEA you sign with us.

8. No Guarantee of Financing

Creating an account or submitting an application does not guarantee approval of any financing. Lender decisions are made by third-party capital providers in their sole discretion based on their own underwriting criteria.

9. Termination

You may close your account at any time by contacting us at michael@servefunding.com. We may suspend or terminate your access for any violation of these Terms or if we believe your use of the Portal poses risk to us, our partners, or other users.

10. Disclaimers

The Portal is provided “as is” and “as available”. To the maximum extent permitted by law we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

11. Limitation of Liability

To the maximum extent permitted by law, Serve Funding’s aggregate liability arising out of or relating to your use of the Portal will not exceed the greater of (a) the fees actually paid by you to Serve Funding in the twelve months preceding the claim, or (b) one hundred U.S. dollars ($100). In no event will Serve Funding be liable for any indirect, incidental, special, consequential, or punitive damages.

12. Governing Law

These Terms are governed by the laws of the State of Georgia, without regard to conflict-of-laws principles. Any dispute arising out of or relating to these Terms or your use of the Portal will be resolved in the state or federal courts located in Cobb County, Georgia.

13. Changes to These Terms

We may update these Terms from time to time. If we make material changes we will notify you in the Portal or by email. Your continued use of the Portal after the changes take effect constitutes your acceptance of the updated Terms.
